Transferability

Investors may transfer their investment to another investor on the following conditions:

1. Approval is required by PARTEQ Angel Network Fund Inc., but approval will not be unreasonably withheld.
2. The transferee satisfies the eligibility conditions of the pooled fund, namely they are an accredited investor and are a Canadian resident (either an individual or corporation) for tax purposes.
